New England Power Pool; Notice of Filing

    December 31, 1997.
Take notice that on December 11, 1997, the New England Power Pool
(NEPOOL or Pool) Executive Committee filed a request for termination of
membership in NEPOOL, with an effective date of February 1, 1998, of
Working Assets Funding Service, Inc., (Working Assets). Such
termination is pursuant to the terms of the NEPOOL Agreement dated
September 1, 1971, as amended, and previously signed by Working Assets.
The New England Power Pool Agreement, as amended (the NEPOOL
Agreement), has been designated NEPOOL FPC No. 2.
The Executive Committee states that termination of Working Assets
with an effective date of February 1, 1998, would relieve Working
Assets, at its request, of the obligations and responsibilities of Pool
membership and would not change the NEPOOL Agreement in any manner,
other than to remove Working Assets from membership in the Pool.
Working Assets owns no generation or transmission facilities in the New
    England Control Area.
Any person desiring to be heard or to protest said filing should
file a motion to intervene or protest with the Federal Energy
    Regulatory Commission, 888 First Street, N.E., Washington, D.C. 20426,
in accordance with Rules 211 and 214 of the Commission's Rules of
Practice and Procedure (18 CFR 385.211 and 385.214). All such motions
or protests should be filed on or before January 13, 1998. Protests
will be considered by the Commission in determining the appropriate
action to be taken, but will not serve to make protestants parties to
the proceeding. Any person wishing to become a party must file a motion
to intervene. Copies of this filing are on file with the Commission and
    are available for public inspection.
    David P. Boergers,
    Acting Secretary.
