Take notice that on December 23, 1996, Consolidated Edison Company
of New York, Inc. (Con Edison) submitted an application pursuant to
Section 203 of the Federal Power Act for authority to carry out a
``disposition of facilities'' that would be deemed to occur as the
result of a proposed corporate reorganization that would create a
holding company. The proposed reorganization is described more fully in
the application, which is on file with the Commission and open to
public inspection.
The application states that Con Edison would become a subsidiary of
the proposed holding company. It also states that the proposed holding
company structure is intended to be a response to the New York Public
Service Commission requirements in its ``competitive opportunities''
proceeding. It further states that the purposes of the proposed
transaction are to better position Con Edison for industry
restructuring, to increase financial flexibility and to better insulate
utility customers from the risks of non-utility ventures. The
application declares that the proposed Transaction will not affect
jurisdictional facilities, rates or services.
