On September 29, 1998, the National Association of Securities
Dealers, Inc. (``NASD'' or ``Association'') through its wholly-owned
subsidiary, the Nasdaq Stock Market, Inc. (``Nasdaq'') filed with the
Securities and Exchange Commission (``Commission'' or ``SEC'') a
proposed rule change, pursuant to Section 19(b)(1) of the Securities
Exchange Act of 1934 (``Act''),\1\ and Rule 19b-4 thereunder,\2\ to
amend Rule 7010 of the Rules of the NASD, to establish a pilot program
to provide proprietary trading data via Nasdaq's NasdaqTrader.com web
site.

Notice of the proposed rule change was published on October 9, 1998
to solicit comment from interested persons.\3\ The Commission received
two comment letters concerning the proposed rule change.\4\ On November
5, 1998, the NASD withdrew the proposal rule change.\5\
