    Williams Natural Gas Co.; Notice of Proposed Changes in FERC Gas 
    Tariff
    
    November 16, 1994.
        Take notice that on November 14, 1994, Williams Natural Gas Company 
    (WNG) tendered for filing as part of its FERC Gas Tariff, Second 
    Revised Volume No. 1, Substitute Second Revised Sheet No. 11 and 
    Substitute First Revised Sheet No. 12. The proposed effective date of 
    these tariff sheets is November 5, 1994.
        WNG states that on October 5, 1994, it filed tariff sheets 
    proposing to direct bill former PGA customers their proportionate share 
    of $75 million, the agreed amount in a settlement between WNG and Amoco 
    Production Company. By order issued November 4, 1994, the Commission 
    accepted the tariff sheets to be effective November 5, 1994, subject to 
    WNG filing revised sheets reflecting the $35 million in settlement 
    costs actually paid to Amoco. Sheet Nos. 11 and 12 in the instant 
    filing are being filed to comply with the order.
        WNG states that a copy of its filing was served on all participants 
    listed on the service lists maintained by the Commission in the docket 
    referenced above and on all of WNG's jurisdictional customers and 
    interested state commissions.
        Any person desiring to protest said filing should file a protest 
    with the Federal Energy Regulatory Commission, 825 North Capitol 
    Street, NE., Washington, DC 20426, in accordance with Sec. 385.211 of 
    the Commission's Rules and Regulations. All such protests should be 
    filed on or before November 23, 1994. Protests will be considered by 
    the Commission in determining the appropriate action to be taken, but 
    will not serve to make protestants parties to the proceedings. Copies 
    of this filing are on file with the Commission and are available for 
    public inspection in the Public Reference Room.
