 Thomas D. McGavran, et al.; Change in Bank Control Notices, 
Acquisitions of Shares of Banks or Bank Holding Companies

    The notificants listed below have applied under the Change in Bank 
Control Act (12 U.S.C. 1817(j)) and Sec.  225.41 of the Board's 
Regulation Y (12 CFR 225.41) to acquire a bank or bank holding company. 
The factors that are considered in acting on notices are set forth in 
paragraph 7 of the Act (12 U.S.C. 1817(j)(7)).
    The notice is available for immediate inspection at the Federal 
Reserve Bank indicated. Once the notice has been accepted for 
processing, it will also be available for inspection at the offices of 
the Board of Governors. Interested persons may express their views in 
writing to the Reserve Bank indicated for the notice or to the offices 
of the Board of Governors. Comments must be received not later than 
January 3, 1995.
    A. Federal Reserve Bank of Kansas City (John E. Yorke, Senior Vice 
President) 925 Grand Avenue, Kansas City, Missouri 64198:
    1. Thomas D. McGavran, to acquire an additional .98 percent, for a 
total of 1.06 percent, Thomas D. McGavran IRA, to acquire an additional 
4.70 for a total of 6.56, and Thomas D. and Emley A. McGavran, to 
acquire an additional 2.16 for a total of 14.19 percent of the voting 
shares of Delphos, Inc., Delphos, Kansas and thereby indirectly acquire 
The State Bank of Delphos, Delphos, Kansas. All notificants reside in 
Delphos, Kansas.
