The reasons cited in the application for withdrawing the Security
from listing and registration include the following:

the Exchange a certified copy of the resolutions adopted by the
Executive Committee of the Board of Directors of the Company

by setting forth in detail to the Exchange the reasons for the proposed

is decreasing to a level below 300. The Security is currently being
traded on the Montreal Exchange and the Toronto Stock Exchange and the
Company intends to maintain their listings on these exchanges.
The Exchange has informed the Company that it has no objection to
the withdrawal of the Company's Security from listing on the Amex.
