Oerlikon-Buhrle Holding AG; Prohibited Trade Practices, and
Affirmative Corrective Actions
AGENCY: Federal Trade Commission.
ACTION: Consent order.

SUMMARY: In settlement of alleged violations of federal law prohibiting
unfair acts and practices and unfair methods of competition, this
consent order permits, among other things, a Switzerland-based
corporation to acquire Leybold AG, a German firm, but requires the
respondent to divest both the Leybold compact disc metallizer business
and the Balzers-Pfeiffer turbomolecular pump business, within 12
months, to Commission approved entities. If the divestitures are not
completed within 12 months, the Commission is permitted to appoint
trustees to complete them. In addition, the respondent is required, for
ten years, to obtain Commission approval before acquiring any interest
in any entity engaged in either of the two markets at issue.

SUPPLEMENTARY INFORMATION: On Friday, November 18, 1994, there was
published in the Federal Register, 59 FR 59780, a proposed consent
agreement with analysis In the Matter of Oerlikon-Buhrle Holding AG,
for the purpose of soliciting public comment. Interested parties were
given sixty (60) days in which to submit comments, suggestions or
objections regarding the proposed form of the order. [[Page 10865]]
No comments having been received, the Commission has ordered the
issuance of the complaint in the form contemplated by the agreement,
made its jurisdictional findings, and entered an order to divest, as
set forth in the proposed consent agreement, in disposition of this
proceeding.
