Tennessee Gas Pipeline Company; Notice of Compliance Filing

February 2, 1998.
    Take notice that on January 29, 1998, Tennessee Gas Pipeline 
Company (Tennessee), tendered for filing as part of its FERC Gas 
Tariff, Fifth Revised Volume No. 1, the following revised tariff 
sheets, with an effective date of January 15, 1998:

Substitute Fourth Revised Sheet No. 405A
Substitute Fourth Revised Sheet No. 405C

    Tennessee states that the revised tariff sheets are filed in 
compliance with the Commission's January 14, 1998 Order in the above-
referenced docket. Tennessee Gas Pipeline Company, 82 FERC Sec. 61,011 
(1988). Tennessee submits that revised tariff sheets incorporate 
certain clarifications to its net present value criteria for awarding 
generally available capacity. In accordance with the January 14 Order, 
Tennessee requests that these tariff sheets be deemed effective on 
January 15, 1998.
    Any person desiring to protest this filing should file a protest 
with the Federal Energy Regulatory Commission, 888 First Street N.E., 
Washington, D.C. 20426, in accordance with Section 385.211 of the 
Commission's Rules and Regulations. All such protests must be filed as 
provided in Section 154.210 of the Commission's Regulations. Protests 
will be considered by the Commission in determining the appropriate 
action to be taken, but will not serve to make protestants parties to 
the proceeding. Copies of this filing are on file with the Commission 
and available for public inspection in the Public Reference Room.
