Mississippi River Transmission Corporation; Notice of Compliance 
Filing

March 5, 1998.
    Take notice that on March 2, 1998, Mississippi River Transmission 
Corporation (MRT) tendered for filing as part of its FERC Gas Tariff, 
Third Revised Volume No. 1, the tariff sheets listed in Appendix A and 
Appendix B to the filing.
    MRT states that the purpose of the instant filing is to comply with 
the Commission's Order on Compliance Filing in Docket Nos. RP98-8-001, 
RP98-8-002, RP96-199-007, and RP96-199-008, issued on February 3, 1998, 
and the Commission's Order issued on February 11, 1998 in Docket Nos. 
RP98-8-003 and RP96-199-010. These orders accepted certain tariff 
sheets, subject to refund and conditioned upon MRT filing revisions 
discussed with these orders.
    Any person desiring to protest this filing should file a protest 
with the Federal Energy Regulatory Commission, 888 First Street, N.E., 
Washington, D.C. 20426, in accordance with Section 385.211 of the 
Commission's Rules and Regulations. All such protests must be filed as 
provided in Section 154.210 of the Commission's Regulations. Protests 
will be considered by the Commission in determining the appropriate 
action to be taken, but will not serve to make protestants parties to 
the proceeding. Copies of this filing are on file with the Commission 
and are available for public inspection in the Public Reference Room.
