Muscogee Generating Company, L.P.; Notice of Surrender of Exempt 
Wholesale Generator Status

March 17, 1997.
    Take notice that on March 11, 1997, pursuant to section 365.7 of 
the Commission's regulations, 18 CFR 365.7, Muscogee Generating 
Company, L.P. filed notification that it surrenders its status as an 
exempt wholesale generator under section 32(a)(1) of the Public Utility 
Holding Company Act of 1935, as amended.
