AGENCY: Securities and Exchange Commission.
ACTION: Notice of meeting of the Securities and Exchange Commission
(``Commission'') Market Transactions Advisory Committee
(``Committee'').

SUMMARY: This is to give notice that the Securities and Exchange
Commission Market Transactions Advisory Committee will meet on April 6,
1994, in room 6059 at the Commission's main offices, 450 Fifth Street
NW., Washington, DC beginning at 1:30 p.m. The meeting will be open to
the public. This notice also serves to invite the public to submit
written comments to the Committee.

SUPPLEMENTARY INFORMATION: In accordance with Section 10(a) of the
Federal Advisory Committee Act, 5 U.S.C. app. 10a, the Securities and
Exchange Commission Market Transactions Advisory Committee hereby gives
notice that it will meet on April 6, 1994, in room 6059 at the
Commission's main offices, 450 Fifth Street NW., Washington, DC,
beginning at 1:30 p.m. The meeting will be open to the public.
The Committee was formed under section 17A(f) of the Securities
Exchange Act of 1934. The Committee's responsibilities include
assisting the Commission in identifying State and Federal laws that may
impede the safe and efficient clearance and settlement of securities
transactions and in advising the Commission on the use of the
Commission's authority under the Market Reform Act of 1990 to adopt
uniform federal rules regarding the transfer and pledge of securities.
The purpose of the meeting will be to discuss the progress of the
Committee's subgroups and to plan the continued progression of the
Committee's work. In addition, the Committee will discuss the status of
the project to revise Article 8 of the Uniform Commercial Code
undertaken by the National Conference of Commissioners on Uniform State
Laws.
