Conversion Application

    Notice is hereby given that on May 13, 1994, the Deputy Assistant 
Director, Corporate Activities Division, Office of Thrift Supervision, 
or her designee, acting pursuant to delegated authority, approved the 
application of First Federal Savings Bank of Kent, Kent, Ohio, convert 
to the stock form of organization. Copies of the application are
