Citizens Utilities Company; Notice of Application

May 16, 1997.
    Take notice that on May 9, 1997, Citizens Utilities Company 
(Applicant) filed an application with the Federal Energy Regulatory 
Commission under Sec. 204 of the Federal Power Act requesting orders 
(a) extending the effectiveness of the order in Docket No. ES95-34-000 
until the close of business on June 30, 1997, and (b) authorizing the 
issuance, from time to time, of up to 50,000,000 shares of common stock 
as stock dividends on shares of its outstanding common stock during a 
two-year period ending July 1, 1999.
    Any person desiring to be heard or to protest said application 
should file a motion to intervene or protest with the Federal Energy 
Regulatory Commission, 888 1st Street, NE, Washington, D.C. 20426 in 
accordance with Rules 211 and 214 of the Commission's Rules of Practice 
and Procedure (18 CFR 385.211 and 385.214). All such motions or 
protests should be filed on or before May 20, 1997. Protests will be 
considered by the Commission in determining the appropriate action to 
be taken, but will not serve to make the protestants parties to the 
proceeding. Any person wishing to become a party must file a motion to 
intervene. Copies of this filing are on file with the Commission and 
are available for public inspection.
