Williams Natural Gas Company; Notice of Proposed Changes in FERC 
Gas Tariff

May 17, 1995.
    Take notice that on May 12, 1995, William Natural Gas Company (WNG) 
tendered for filing as part of its FERC Gas Tariff, Second Revised 
Sheet No. 11, Second Substitute First Revised Sheet No. 12. The 
proposed effective date of this tariff sheet is November 5, 1994.
    WNG states that this filing is being made in compliance with 
Commission order issued May 2, 1995 in Docket No. RP95-3. WNG was 
directed by the order to file, within 30 days of the issuance of the 
order, actual tariff sheets reflecting the $35 million direct bill that 
eliminates the small municipal customers identified in WNG's Small 
Customer Settlement filed October 5, 1994, in Docket No. RP95-3-001.
    WNG states that a copy of its filing was served on all 
jurisdictional customers and interested state commissions.
    Any person desiring to protest said filing should file a protest 
with the Federal Energy Regulatory Commission, 825 North Capitol 
Street, NE., Washington, DC 20426, in accordance with Section 385.211 
of the Commission's Rules and Regulations. All such protests should be 
filed on or before May 24, 1995. Protests will be considered by the 
Commission in determining the appropriate action to be taken, but will 
not serve to make protestants parties to the proceeding. Copies of this 
filing are on file with the Commission and are available for public 
inspection in the Public Reference Room.
