    Issuer Delisting; Notice of Application to Withdraw From Listing 
    and Registration; (GST Telecommunications, Inc., Common Shares, Without 
    Par Value) File No. 1-12866
    
    June 24, 1998.
        GST Telecommunications, Inc. (``Company'') has filed an application 
    with the Securities and Exchange Commission (``Commssion''), pursuant 
    to Section 12(d) of the Securities Exchange Act of 1934 (``Act'') and 
    Rule 12d2-2(d) promulgated thereunder, to withdraw the above specified 
    Security (``Security'') from listing and registration on the American 
    Stock Exchange, Inc. (``Amex'' or ``Exchange'').
        The reasons cited in the application for withdrawing the Security 
    from listing and registration include the following:
        The Board of Directors of the Company, at a meeting held on March 4 
    and 5, 1998, unanimously approved resolutions to withdraw the Security 
    from listing on the Amex and, instead, to list such Security on the 
    Nasdaq National Market (``Nasdaq''). The Board of Directors, after 
    lengthy deliberation, determined that, since all other 
    telecommunications companies in the Company's industry segment have 
    their shares listed for trading on Nasdaq, it would be in the best 
    interest of the Company and its shareholders to have the Security 
    listed on Nasdaq rather than the Amex.
        The Company has complied with Amex Rule 18 by notifying the Amex of 
    its intention to withdraw its Security from listing by letter dated 
    March 27, 1998. The Amex replied by letter dated April 7, 1998, 
    advising it would not interpose any objection to such withdrawal. The 
    Amex suspended trading of the Security at the close of business on 
    Monday, April 13, 1998, and the Security commenced trading on Nasdaq on 
    Tuesday, April 14, 1998. The Company has filed an amended registration 
    statement on Form 8-A to register the Security under Section 12(g) of 
    the Act.
        By reason of Section 12(g) of the Act and the rules and regulations 
    thereunder, the Company shall continue to be obligated to file reports 
    with the Commission under Section 13 of the Act.
        Any interested person may, on or before July 16, 1998, submit by 
    letter to the Secretary of the Securities and Exchange Commission, 450 
    Fifth Street, N.W., Washington, D.C. 20549, facts bearing upon whether 
    the application has been made in accordance with the rules of the 
    Exchange and what terms, if any, should be imposed by the Commission 
    for the protection of investors. The Commission, based on the 
    information submitted to it, will issue an order granting the 
    application after the date mentioned above, unless the Commission 
    determines to order a hearing on the matter.
