Take notice that on July 8, 2003, PacifiCorp (PacifiCorp) and PPM Energy, Inc. (PPM Energy) (collectively Applicants) filed with the Federal Energy Regulatory Commission (Commission) an application, pursuant to section 203 of the Federal Power Act and part 33 of the Commission's Regulations, for an order disclaiming jurisdiction or, in the alternative, for an order authorizing an intracorporate reorganization whereby NA General Partnership (NAGP) will be merged into PacifiCorp Holdings, Inc. (PHI). As a result of the reorganization, NAGP will be removed from the chain of ownership between Scottish Power and Applicants. The separate existence of NAGP shall cease and PHI shall continue to exist as the surviving entity. Applicants will remain indirect subsidiaries of Scottish Power and direct subsidiaries of PHI. Applicants filed no Section 205 rate proceeding in this application, and state that the transaction will change only Applicants' internal upstream corporate structure, and will have no impact on competition, rates or regulation. Applicants request that the Commission disclaim jurisdiction over or approve the transaction as early as practicable.
