Service Corporation International; Prohibited Trade Practices,
and Affirmative Actions
AGENCY: Federal Trade Commission.
ACTION: Consent order.

SUMMARY: In settlement of alleged violations of federal law prohibiting
unfair acts and practices and unfair methods of competition--in
connection with Service Corporation International's acquisition of
Uniservice Corporation--this consent order requires, among other
things, the Texas corporation to divest, to a Commission-approved
acquirer, the Uniservice Corporation assets and businesses in Medford,
Oregon, within twelve months or transfer responsibility for the
divestiture to a trustee appointed by the Commission, and to obtain
prior Commission approval, for a period of ten years, before acquiring
any interest in funeral establishments or cemeteries in Jackson County,
Oregon.

SUPPLEMENTARY INFORMATION: On Thursday, March 9, 1995, there was
published in the Federal Register, 60 FR 12955, a proposed consent
agreement with analysis In the Matter of Service Corporation
International, for the purpose of soliciting public comment. Interested
parties were given sixty (60) days in which to submit comments,
suggestions or objections regarding the proposed form of the order.
No comments having been received, the Commission has ordered the
issuance of the complaint in the form contemplated by the agreement,
made its jurisdictional findings and entered an order divest, as set
forth in the proposed consent agreement, in disposition of this
proceeding.
