William Natural Gas Co.; Proposed Changes in FERC Gas Tariff

August 19, 1994.
    Take notice that on August 17, 1994, Williams Natural Gas Company 
(Williams) tendered for filing the following tariff sheets to its FERC 
Gas Tariff, Second Revised Volume No. 1:

Second Revised Sheet Nos. 7 and 8

The proposed effective date of these tariff sheets is September 17, 
1994.
    Williams states that this filing is being made pursuant to Article 
II, Section 10 of the Stipulation and Agreement dated November 24, 1992 
(November 24 S & A), approved by Commission Order dated March 12, 1993 
(61 FERC 61,240), and Article 14 of the General Terms and Conditions 
of its FERC Gas Tariff, Second Revised Volume No. 1. Williams' filing 
contains a further report of take-or-pay buyout, buydown and contract 
reformation costs and pipeline supplier refunds, and the application or 
distribution of those costs and refunds.
    Williams states that a copy of the filing was served on all 
participants listed on the service lists maintained by the Commission 
in the Docket No. RP89-183 dockets, and on all of Williams' 
jurisdictional customers and interested state commissions.
    Any person desiring to protest said filing should file a protest 
with the Federal Energy Regulatory Commission, 825 North Capitol 
Street, NE., Washington, DC 20426, in accordance with 18 CFR 385.211 of 
the Commission's Rules and Regulations. All such protests should be 
filed on or before August 26, 1994. Protests will be considered by the 
Commission in determining the appropriate action to be taken, but will 
not serve to make protestants parties to the proceeding. Copies of this 
filing are on file with the Commission and are available for public 
inspection in the Public Reference Room.
