    determination of exempt wholesale generator status pursuant to section 
    32(a)(1) of the Public Utility Holding Company Act of 1935 (PUHCA). The 
    applicant is a limited liability company organized under the laws of 
    the State of Delaware that will be engaged directly and exclusively in 
    owning and/or operating 9,287 MW of generating capacity in Illinois 
    being acquired from Commonwealth Edision Company.

    The Netting Agreement principally provides that, during each month in

    LG&E/KU will net the amounts owed by each party to the other, such that 
    the only payment to be made will be by the party owing the difference 
    between the two amounts.
